1.1. These Terms of Service (“Terms”) govern your access to and use of the Innovisto platform, website, mobile application, and all related services (collectively, the “Service”).
1.2. Innovisto is a brand and service owned and managed by Kiowa Mayfield Darlington (FZE), a UAE Free Zone company registered at the Sharjah Research Technology and Innovation Park (“Innovisto”, “we”, “us”, or “our”).
1.3. By creating an account, starting a trial, or subscribing to the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1.4. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
Account – a user profile registered through Supabase Auth and linked to Paddle’s billing system.
Content – all written material, ideas, graphics, text, design, data, and other materials provided by Innovisto.
Ideas – curated business concepts displayed through the Service.
MoR – Merchant of Record.
Paddle – Paddle.com and its affiliates, which act as the Merchant of Record for all payments.
Subscriber – a user with an active subscription or trial.
Subscription Term – the duration of a paid or trial plan.
3.1. Innovisto provides a subscription-based digital platform offering curated business Ideas intended solely for personal inspiration.
3.2. The Service does not provide financial, legal, investment, or tax advice. The content is not guaranteed to be accurate, complete, profitable, or suitable for any particular purpose.
3.3. You are solely responsible for evaluating and applying any Idea or concept. Innovisto and Kiowa Mayfield Darlington (FZE) make no warranties about commercial outcomes, legality, or compliance of any Idea in any jurisdiction.
3.4. Innovisto is not responsible if any Idea resembles, overlaps with, or is identical to any existing business, product, patent, trademark, copyright, or other intellectual property owned by any third party. You are solely responsible for conducting due diligence before starting any business.
3.5. Innovisto does not guarantee the accuracy, completeness, or correctness of Content and is not liable for typographical errors, omissions, outdated information, or other inaccuracies present in the Service.
4.1. You must be at least 18 years old and legally capable of entering into binding agreements.
4.2. Registration requires your real legal name, a valid email address, and, where phone authentication is used, a valid mobile phone number. SMS or carrier charges for one time passcodes may apply depending on your provider.
4.3. Accounts are personal and non-transferable. You may not share or allow others to access your Account.
5.1. You may register through Supabase Auth using email/password, supported social login providers, or phone number authentication using one-time passcodes.
5.2. You are responsible for maintaining the confidentiality of login credentials and for all actions under your Account.
5.3. We may monitor activity to detect misuse, and may suspend or terminate access without notice in cases of unauthorized sharing, scraping, multiple-trial abuse, or suspected fraud.
5.4. We reserve the right to refuse, suspend, or terminate service to any person or entity at our sole discretion.
6.1. Merchant of Record
All payments and billing for the Service are processed by Paddle, which acts as the sole Merchant of Record. You agree that your purchase, billing, tax, and refund handling are governed by Paddle’s own terms and policies accepted at checkout.
6.2. Plans and Renewals
The Service operates on a recurring subscription model. Subscriptions renew automatically at the end of each Subscription Term unless cancelled before renewal through the Paddle customer portal or other Paddle-provided method.
6.3. Trials
Innovisto may offer a free or discounted trial period at its discretion. The duration and conditions of such trials may vary and are subject to change at any time. Abuse of trials (multiple accounts or false identities) may result in immediate suspension or termination.
6.4. Cancellations and Refunds
Refund Policy
This Refund Policy applies to all purchases made through Innovisto and processed by Paddle as our Merchant of Record.
Eligibility for Refunds
Paddle provides a fourteen (14) day refund period for the first payment of any new subscription. If you request a refund within fourteen (14) days from the date of your initial charge, you are entitled to a full refund of that payment.
Refunds apply only to the initial transaction of a new subscription. Renewals, subsequent billing cycles, and repeat charges are not eligible for a refund.
How to Request a Refund
Refund requests must be submitted directly to Paddle. You can contact Paddle at help@paddle.com or through their support portal. Paddle will review your request and, if approved, process the refund to the original payment method.
Innovisto cannot issue refunds directly and cannot override Paddle’s refund decisions.
Effect of Refund
If a refund is granted, your subscription will be cancelled immediately. Access to all paid features, including the Founder Dashboard, Favoriting, Secured Ideas, and all subscription benefits, will end at the time the refund is issued.
Non Refundable Circumstances
Refunds are not provided in the following situations:
Requests made more than fourteen (14) days after the initial subscription payment.
Requests relating to subscription renewals or recurring charges after the initial billing period.
Requests where the subscription has been substantially used, accessed, or consumed in a manner inconsistent with normal trial or introductory use.
Payments not processed by Paddle.
Changes to This Policy
Innovisto may update or modify this Refund Policy at any time. Changes will apply to purchases made after the revised policy takes effect.
6.5. Taxes
All displayed prices may include or exclude VAT or equivalent indirect taxes depending on your country. See the final applicable tax amount during checkout.
6.6. Failed or Disputed Payments
If a payment fails or is reversed, we may suspend or terminate your access immediately until the balance is cleared.
6.7. Price Changes
Innovisto may update, modify, or change subscription prices at any time. Any price change will apply to new subscribers immediately and will take effect for existing subscribers at the start of the next billing cycle. If a price change affects your subscription, Paddle may notify you where required by applicable law. Continued use of the Service after the new pricing takes effect constitutes acceptance of the updated price.
7.1. All rights in and to the Service, including text, design, UI, software, structure, compilation, and all Content, are owned by Kiowa Mayfield Darlington (FZE) and protected by UAE and international copyright laws.
7.2. Subject to these Terms and an active Subscription Term, Innovisto grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service solely for personal inspiration and research.
7.3. You may use any Idea to develop or operate your own business, provided you do not reproduce, sell, redistribute, or publish Innovisto’s content as such.
7.4. You may not share screenshots, exports, or internal materials publicly online, nor resell or make the Ideas available to others.
7.5. This license terminates automatically when your subscription or trial ends.
7.6. The Innovisto name, logo, icon, branding, and all associated visual identity elements are the exclusive property of Kiowa Mayfield Darlington (FZE).
8.1. “Secure an Idea” is an optional, one-off paid feature that grants a Subscriber exclusive visibility of a specific Idea going forward.
8.2. Once an Idea is secured, it is removed from all other users’ lists, including daily deliveries and Past Ideas for as long as the user maintains an active subscription, at a minimum.
8.3. Other users may have previously seen or saved the Idea before it was secured. Innovisto cannot reverse this.
8.4. Securing an Idea does not provide ownership of intellectual property, copyrights, trademarks, patents, or exclusive rights to build or operate any business.
8.5. Securing an Idea grants only the exclusive visibility of that Idea within the Innovisto platform from that point onward.
8.6. Innovisto does not guarantee that other users will not independently build similar or identical businesses.
8.7. Innovisto may deny, revoke, or reverse a Secure action at its discretion, with or without refund.
9.1. Innovisto does not verify whether any Idea is lawful, permissible, or compliant with local regulations in any specific jurisdiction.
9.2. You are solely responsible for ensuring that any business you build based on an Idea complies with all applicable laws, licensing requirements, and regulatory obligations in your country or region.
9.3. You acknowledge that none of the Content constitutes legal, financial, tax, or professional advice. Innovisto and Kiowa Mayfield Darlington (FZE) disclaim all responsibility for consequences arising from the use or misuse of any Idea.
We reserve the right to monitor, restrict, or terminate accounts engaged in these activities and may pursue legal action where appropriate.
Any comments, suggestions, or feedback provided to Innovisto may be used, copied, or implemented without compensation. By submitting feedback, you grant Innovisto a perpetual, irrevocable, royalty-free license to use it for improvement of the Service.
The Service integrates with third parties such as Paddle (for billing) and Supabase (for authentication and data storage). Your use of these services is subject to their respective terms and privacy policies. Innovisto is not liable for any acts or omissions of these third parties.
We collect and process limited personal data necessary to operate the Service. Details are described in our Privacy Policy, available on our website and incorporated into these Terms by reference. You acknowledge that data may be stored or processed in multiple jurisdictions, including within the EU and the UAE.
14.1. We aim to maintain continuous access but do not guarantee uninterrupted or error-free operation. Downtime, maintenance, and technical issues may occur.
14.2. We may modify, enhance, suspend, or discontinue the Service or any feature at any time without liability.
14.4. Changes to Features
Innovisto may add, modify, or remove features within the Service or within any subscription plan at its discretion. We do not guarantee that any feature, functionality, or content available at the time of your subscription will remain available for the entire Subscription Term. We are not obligated to maintain backward compatibility or provide replacements for discontinued features.
14.3. Continued use of the Service after updates constitutes acceptance of those changes.
15.1. The Service and all Content are provided “as is” and “as available” without warranties of any kind, express or implied.
15.2. Innovisto does not guarantee that any Idea will be profitable, suitable, accurate, or error-free.
15.3. Innovisto does not check or warrant that Ideas are legal or permitted in your jurisdiction. You must verify all compliance, permits, and licenses independently.
15.4. Innovisto disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
16.1. To the fullest extent permitted by law, Innovisto, Kiowa Mayfield Darlington (FZE), its affiliates, officers, employees, or agents shall not be liable for:
16.2. In no event shall our total liability for any claim exceed the total subscription fees paid during the Subscription Term in which the claim arose.
16.3. You agree not to hold Innovisto liable for downtime, bugs, hacking, or any other disruption, whether caused by our systems or third-party providers.
You agree to indemnify and hold harmless Innovisto and Kiowa Mayfield Darlington (FZE) from and against all claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, breach of these Terms, or violation of any law or third-party rights.
18.1. Innovisto may suspend or terminate your access immediately for non-payment, breach of these Terms, misuse, or risk to the platform’s integrity.
18.2. Termination does not relieve you of outstanding payment obligations.
18.3. Upon termination, all rights and licenses granted under these Terms cease immediately.
18.4. Sections relating to intellectual property, limitation of liability, indemnity, and governing law shall survive termination.
18.5. Innovisto may cancel any user account at its sole discretion and may choose whether or not to issue a refund. Users waive any claim, compensation, or damages arising from such cancellation decisions.
18.6. Data After Termination
Upon termination of your Account, Innovisto may delete some or all data associated with your Account, including saved Ideas, favorites, secured Idea history, and usage records. Innovisto is not obligated to store or preserve any data after termination, and you waive any claims related to the deletion or loss of such data.
19.1. These Terms are governed by the laws of the United Arab Emirates.
19.2. The parties shall first attempt in good faith to resolve disputes through informal discussion with Innovisto Support.
19.3. If unresolved, disputes shall be settled by binding arbitration in the UAE, conducted in English and subject to UAE arbitration law.
19.4. The arbitration decision is final and enforceable in any jurisdiction.
19.5. You waive the right to participate in class or representative actions.
Innovisto shall not be liable for delays or failures caused by events beyond reasonable control, including cyberattacks, network failures, power outages, war, terrorism, natural disasters, or governmental action.
Innovisto may revise these Terms at any time. The latest version will always be available on innovisto.com/terms. Continued use after publication of an updated version constitutes acceptance of the new Terms.
